正值A股的财报季，每日一词将更新一波相关词汇。
伯克希尔哈撒韦（Berkshire Hathaway Cooperation）股东大会是投资界一年一度的盛宴，全球投资者迎来一年一度的奥马哈朝圣之旅，聆听沃伦·巴菲特和查理·芒格独到的投资见解。
股东是shareholders，会议我们常说conference、meeting，股东大会的英文是——shareholders' meeting.
而召开临时股东大会，多是有特别的事由，所以临时股东大会就可以说：special meeting of shareholders. (这里不能直接把special加在shareholders' meeting前面，是为了避免起义。special修饰的是meeting，而不是指“特别的股东”。）
关于年度股东大会，更常见、地道的表达，应该是Annual General Meeting(AGM)，

（A yearly gathering of a company's interested shareholders, 这里的interested可不是“感兴趣的”意思，而是指“（利益）相关的”。

【例句】
The Board has recommended the payment of a final dividend of HKD2.40 per Share (2021: HKD1.60 per Share) for the year ended 31 December 2022, subject to the approval of the shareholders at the 2023 AGM. （董事会建议就截至二零二二年十二月三十一日止年度派发末期股息每股2.40 港元（二零二一年：每股1.60 港元）， 惟须待股东在二零二三年股东周年大会上批准后，方可作实。）

年度股东大会上，通常会做哪些事情呢？
通过中英对照的方式来积累一些表达吧。
Minutes of the previous meeting:
The minutes of the previous year's AGM must be presented and approved. （前一年的年度股东大会的会议记录必须提交并通过。）
Financial statements:
The company presents its annual financial statements to its shareholders for approval. 公司将年度财务报表提交股东批准。
Ratification of the director's actions:
The shareholders approve and ratify (or not) the decisions made by the board of directors over the previous year. This often includes the payment of a dividend. （股东批准和批准(或不批准)董事会在上一年度所作的决议，通常包括股息的支付。）
Election of the board of directors:
The shareholders elect the board of directors for the upcoming year. （股东选举下一年的董事会成员。）
